Buying a business


Springboard Corporate Finance are delighted to announce that they have advised on the simultaneous acquisition of Dearnleys and Pentel, a leading supplier of commercial blinds, in a management buy-in led by Rod Roberts-Dear.

About the deal

Dearnleys and Pentel are leading commercial solar shading specialists in the UK, designing and installing blinds for large commercial premises.  The businesses employ 40 staff across the two sites, with Dearnleys, which was established over 80 years ago, covering the area from North East down to the East Midlands and the South East and Pentel, established in the 1980s, covering the North West, the West Midlands and Wales.

The businesses were acquired in a simultaneous transaction from Andrew and Rachel McHale by Rod Roberts-Dear. The MBI transaction was funded through an equity investment by Enterprise Ventures, with debt facilities provided by Shawbrook Bank.

How we made a difference

  • Led the debt and equity fundraising, acting as lead advisor ;
  • Developed a strong relationship with the Vendor to structure a deal that worked for all parties;
  • Identified and negotiated terms with equity providers creating competitive tension to enhance pricing and deliverability; and
  • Secured majority ownership for client.
